No Registration

The Preferred Units offered hereby have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws. These securities are being offered in reliance on exemptions from registration requirements under the Securities Act and applicable state laws.

Investment Risk

An investment in the Fund involves risk and is suitable for sophisticated investors who understand real estate investment risks. There can be no assurance that the Fund will achieve its investment objectives or that investors will receive a return of their capital.

Limited Liquidity

There is no public market for the Preferred Units, and none is expected to develop. The Preferred Units are subject to substantial restrictions on transfer. Investors should be prepared to hold their investment for the stated term period.

Real Estate Market Considerations

The Fund's investments are concentrated in real estate assets, which are subject to various market conditions including: economic cycles, changes in property values, environmental considerations, regulatory changes, and market liquidity. Real estate values may fluctuate based on market conditions.

The Manager and its affiliates have interests in other real estate ventures and may allocate investment opportunities, management time, and resources between the Fund and other entities in accordance with the Operating Agreement.

Management Discretion

The Manager has broad discretion over the Fund's investments and operations as outlined in the Operating Agreement. Investors will have limited voting rights on operational decisions.

Tax Considerations

The tax treatment of investments in the Fund is complex and may vary based on individual circumstances. Investors should consult with their own tax advisors regarding the federal, state, local, and foreign tax consequences of investing in the Fund.

Distribution Considerations

Preferred returns are targets and not guarantees. Distributions are subject to available cash flow and Manager discretion as outlined in the Operating Agreement. The Fund's ability to make distributions depends on operational performance and liquidity.

Redemption Provisions

For classes with mandatory redemption dates, the Fund's ability to redeem Units is subject to available liquidity and market conditions. Redemption timing may be affected by refinancing capacity and operational cash flow.

Capital Structure
